Terms & Conditions

These Terms & Conditions ("Terms") govern your access to and use of the Rukter platform, website, and services (collectively, the "Service") provided by Rukter ("we," "our," or "us").

By creating an account, accessing, or using Rukter, you agree to be bound by these Terms. If you are using Rukter on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

If you do not agree to these Terms, do not access or use our Service. We reserve the right to update these Terms at any time with notice provided to registered users.

Rukter is a Software-as-a-Service (SaaS) e-commerce platform that enables merchants ("Sellers") to:

• Create and manage an online storefront with product listings
• Accept orders and payments from customers via bank transfer and QR payment
• Manage inventory, collections, and customer data
• Customize the appearance of their storefront using a theme editor
• Access analytics and sales reporting

We reserve the right to modify, suspend, or discontinue any aspect of the Service with reasonable notice. We will not be liable for any modification, suspension, or discontinuation of the Service.

To use Rukter, you must register for an account. When registering, you agree to:

• Provide accurate, current, and complete information
• Keep your account credentials confidential and not share them with others
• Notify us immediately of any unauthorized use of your account
• Be at least 18 years of age, or have parental/guardian consent
• Comply with all applicable Thai laws and regulations regarding online business

You are responsible for all activities that occur under your account. Rukter will not be liable for any loss or damage arising from unauthorized use of your account credentials.

We reserve the right to refuse account registration or suspend existing accounts at our sole discretion, particularly where we have reason to believe Terms have been violated.

Access to certain features of Rukter requires a paid subscription.

Billing:

• Subscription fees are billed in advance on a monthly or annual cycle
• All prices are in Thai Baht (THB) unless otherwise stated
• Subscriptions automatically renew unless cancelled before the renewal date

Refunds:

• Annual subscriptions may be eligible for a pro-rated refund within 14 days of the start of a billing period if you have not made any sales
• Monthly subscriptions are non-refundable once a billing period has commenced
• We reserve the right to refuse refunds where abuse of the refund policy is suspected

Free Trial: If we offer a free trial, you may use the Service free of charge for the trial period. After the trial ends, continued use requires a paid subscription.

As a Seller using Rukter, you are solely responsible for:

• The accuracy, legality, and quality of all products and services you list
• Complying with all applicable Thai and international laws, including consumer protection laws, product safety regulations, and tax obligations
• Fulfilling orders accurately and within the timeframes you communicate to customers
• Handling customer disputes, returns, and refunds professionally
• Collecting and remitting applicable VAT and taxes on your sales
• Obtaining necessary business licenses and permits required to sell your products
• Protecting the personal data of your customers in accordance with PDPA

Rukter acts as a platform provider only and is not a party to transactions between Sellers and their customers.

You may not use Rukter for any of the following:

• Selling counterfeit, stolen, illegal, or regulated goods (weapons, narcotics, etc.)
• Fraudulent activities, including fake products, payment fraud, or scam listings
• Spamming customers or sending unsolicited commercial communications
• Uploading malware, viruses, or any malicious code
• Scraping or crawling platform data without written permission
• Impersonating another person, business, or Rukter itself
• Engaging in activities that violate intellectual property rights of others
• Using the platform in any way that disrupts or overloads our infrastructure
• Circumventing platform security measures or attempting unauthorized access

Violation of these prohibitions may result in immediate account suspension and may be reported to relevant authorities.

Rukter's IP: The Rukter platform, logo, software, design, and documentation are owned by Rukter and protected under Thai intellectual property law. You may not copy, modify, distribute, or create derivative works without written permission.

Your Content: You retain ownership of all content you upload to Rukter (product images, descriptions, store branding). By uploading content, you grant Rukter a non-exclusive, royalty-free license to host, display, and process that content solely to provide the Service.

Feedback: Any feedback, suggestions, or ideas you share about Rukter may be used by us without compensation or attribution to improve our services.

TO THE MAXIMUM EXTENT PERMITTED BY THAI LAW, RUKTER AND ITS DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR:

• Indirect, incidental, special, or consequential damages
• Loss of profits, revenue, data, or business opportunities
• Damages arising from unauthorized access to or alteration of your data
• Damages from downtime, service interruptions, or technical failures
• Acts or omissions of third-party service providers

OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF THESE TERMS OR USE OF THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO RUKTER IN THE THREE (3) MONTHS PRECEDING THE CLAIM.

Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities. In such jurisdictions, our liability is limited to the maximum extent permitted by law.

You agree to indemnify, defend, and hold harmless Rukter and its affiliates, directors, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in connection with:

• Your use of or access to the Service
• Your violation of these Terms
• Your violation of any third-party rights, including intellectual property or privacy rights
• Any dispute between you and a customer of your store
• Any products or services you sell through Rukter

By You: You may close your Rukter account at any time by contacting [email protected]. Upon termination, your storefront will be taken offline and your data will be retained according to our Privacy Policy retention schedule.

By Rukter: We may suspend or terminate your account immediately, without prior notice or liability, if:

• You breach any provision of these Terms
• We are required to do so by law
• Your account has been inactive for more than 24 months
• We believe continued operation poses risk to other users or the platform

Upon termination, your right to use the Service ceases immediately. Provisions of these Terms that by their nature should survive termination (including intellectual property, indemnification, and liability limitations) shall survive.

These Terms shall be governed by and construed in accordance with the laws of the Kingdom of Thailand, without regard to its conflict of law provisions.

Any disputes arising under these Terms that cannot be resolved amicably shall be submitted to the exclusive jurisdiction of the courts located in Bangkok, Thailand.

These Terms constitute the entire agreement between you and Rukter regarding the Service and supersede all prior agreements, representations, and understandings.
